<p><span><span>To effect the<span class="paywall-full-content"> U.S. redomiciliation, each outstanding common share of Bitfarms (</span><a href="https://seekingalpha.com/symbol/BITF" title="Bitfarms Ltd." class="paywall-full-content" data-wpel-link="external" target="_blank" rel="nofollow external noopener noreferrer">BITF</a><span class="paywall-full-content">) will be exchanged for one share of common stock of Keel Infrastructure. Upon completion, Keel Infrastructure US Common Stock is expected to trade on the Nasdaq and the Toronto Stock Exchange under the ticker KEEL.</span></span></span></p>
<p class="paywall-full-content"><span>The company&#8217;s board has approved the plan, which remains subject to receipt of shareholder, stock exchange and court approvals. Bitfarms (<a href="https://seekingalpha.com/symbol/BITF" title="Bitfarms Ltd." data-wpel-link="external" target="_blank" rel="nofollow external noopener noreferrer">BITF</a>) will seek shareholder approval of the plan at a meeting on March 20.</span></p>
<p class="paywall-full-content"><span>The move, which is expected to be completed on or about April 1, 2026, marks the final phase of Bitfarms&#8217; (<a href="https://seekingalpha.com/symbol/BITF" title="Bitfarms Ltd." data-wpel-link="external" target="_blank" rel="nofollow external noopener noreferrer">BITF</a>) pivot to the U.S. In August, BITF made a commitment to convert to U.S. GAAP accounting standards.</span></p>

<p class="paywall-full-content">Sympatheia, a crypto infrastructure fund managed by Singapore-based Hawksburn Capital, will acquire the shares of the single-purpose subsidiary that holds all the operating assets related to the Paso Pe bitcoin mining site.<!--EndFragment --></p>
<p class="paywall-full-content">The transaction is expected to close within 60 days.</p>

<li>The company’s 18 MW Bitcoin mining facility in Washington State will be the first site fully converted to support HPC/AI workloads with up to 190<span class="paywall-full-content"> kW per rack and advanced liquid cooling, it said in a statement.</span> </li>
<li class="paywall-full-content">Bitfarms has signed a fully funded, binding agreement of $128 million with a large publicly traded American multinational provider of critical infrastructure and services for data centers.</li>
<li class="paywall-full-content">Under the terms of the agreement, the partner will supply all critical IT equipment and building materials for 18 MW of gross capacity with an anticipated industry leading PuE, between 1.2 and 1.3. The site is targeted for completion in December 2026.</li>
