Paramount Skydance (PSKY) disclosed in an SEC filing on Friday that its antitrust waiting period of 10 days for its all-cash offer to buy Warner Bros. Discovery (WBD) has expired in the U.S.
The company said the waiting period expired on February 19, 2026, at 11:59 p.m., Eastern Time.
The waiting period expired following Paramount’s certification of compliance with the DoJ’s second request for information sent to the company on December 23, 2025.
“The expiration of the HSR waiting period means there is no statutory impediment in the U.S. to closing Paramount’s proposed acquisition of WBD,” the company said.
Paramount said it continues to engage constructively with antitrust enforcers and other regulators globally.
The company said it secured clearance for the WBD deal from the foreign investment authorities in Germany on January 27, 2026.
