Super Micro delays 10-Q filing, seeks additional time to find new auditor
Super Micro Computer (NASDAQ:SMCI) said in a filing yesterday that it will be unable to file its quarterly report on Form 10-Q for the period ended Sept. 30 in a timely manner without unreasonable effort or expense.
The board’s special committee has completed its investigation based on a set of initial concerns raised by its former auditor Ernst & Young. The committee has other work that is ongoing, but expects the review to be completed soon.
The embattled artificial intelligence server maker also said it needs additional time to select and engage a new accounting firm and to prepare the Q1 2025 Form 10-Q. The Q1 2025 Form 10-Q cannot be completed and filed until the 2024 Form 10-K is completed and filed.
As previously announced, the company has been unable to file its annual report on form 10-K for the period ended June 30, 2024.
While reporting its preliminary fiscal first-quarter results last week, Super Micro (SMCI) addressed the situation related to its delayed 10-K, and said it has seen no evidence of fraud or misconduct, but that it remains difficult to say when the report will be filed.
SMCI shares were down about 4.2% in premarket trading on Wednesday.
